Organizations and Transactions Clinic students completed a successful autumn quarter. Under the supervision of director Jay Mitchell and clinical supervising attorney Michelle Sonu, they worked on a variety of corporate, contractual, advisory, and governance matters, described below:

Tyler Miller (’19) and Sarah Craig (’19) worked with a large Bay Area farmers’ market operator to prepare market rules and related documents reflecting recent changes in California law. The project involved multiple interactions with senior management team and Board members. Tyler and Sarah also developed exhibition, curator, and other contracts for a San Francisco nonprofit whose mission centers on the book arts.

Leonardo Villalobos (’18) and Alexandra Enion (’19) prepared template program delivery and other agreements and provided brand protection advice to a national children’s healthcare nonprofit based in Portland. Leo and Alex also worked with a North Bay organization focused on sustainability to develop template agreements, tools and advice for its fellowship program.

Carina Tai (’19) and Emma Ireland (’19) prepared multiple contracts for a national education nonprofit headquartered in the East Bay relating to its core programs and to a new digital product in development. Carina and Emma also developed artist residency and other program agreements for a Bay Area nonprofit that provides local, national, and international artists with studio space and a range of other resources.

Ashley Vazquez (’19) and Gregory Van Buiten (’18) developed a suite of template contracts and tools for one of the nation’s leading dance companies and dance schools. Ashley and Greg also developed chapter guidelines and provided related advice to an international nonprofit that works with communities and local governments in Asia and Africa to develop literacy skills and promote gender equality in education.


Corporate governance:

In addition, all O&T Clinic students carried out comprehensive corporate governance reviews. These engagements involve reviewing the client’s existing governance documents and practices, preparing a detailed advice deliverable, drafting an extensive suite of bylaws, board committee charters, and other documents, and, in some cases, making a formal presentation to board members and senior executives. Carina Tai (’19) and Sarah Craig (’19) represented a large public interest law firm serving low-income clients in communities across California. Leonardo Villalobos (’18) and Ashley Vazquez (’19) worked with the board of a leading global water research organization. Gregory Van Buiten (’18) and Alexandra Enion (’19) advised a Fresno-based nonprofit that provides behavioral health services in rural communities in the Central Valley. Tyler Miller (’19) and Emma Ireland (’19) represented a major public interest law firm and advocacy organization focused on education, housing, and transit equity.
