The Business Roundtable’s new Statement on the Purpose of a Corporation calls for corporations to adopt a broader stakeholder orientation and move away from a focus on shareholder primacy. Other prominent voices, such as the Council of Institutional Investors have expressed concern regarding this reorientation of corporate purpose. Wherever a company stands in this debate, the conversation raises many practical questions for board members, executives, and their advisors. How can directors best understand impacts to key stakeholders and how the company assesses and considers those impacts?  How can the board ensure that management has the resources to respond to stakeholder concerns in a manner consistent with the company’s values?
