Environmental, Social, and Governance (ESG) has proven to be a key indicator of corporate performance and resilience in the face of the global pandemic, maintaining shareholder value amidst broad economic challenges, and further progressing the rise of ESG as a core component of the investment and acquisition process. Please join the Rock Center for Corporate Governance as a panel of experts discuss ESG and due diligence. The program will address identifying ESG risks and opportunities associated with an investment or acquisition target; evaluating a company’s ESG health; and integrating findings into commercial diligence and transaction strategy, valuation, and integration.

HEIDI DUBOIS is the Executive Vice President and Head of ESG, Edelman. She is an environmental, social and governance (ESG) expert with two decades of experience in the legal, corporate governance and sustainability areas. Heidi has advised numerous companies on ESG strategy, execution and reporting; engagement with investors and other stakeholders; and partnerships with NGOs and civil society organizations to advance ESG objectives.

TARA GIUNTA is a partner in the Litigation Department of Paul Hastings and is a Vice Chair of the Investigations and White Collar Defense practice, which was awarded Global Investigations Review’s (GIR) “Most Impressive Investigations Practice” in 2017 and included in GIR’s top 10 investigations practices in 2020. Ms. Giunta was recognized by GIR in its inaugural Women in Investigations list, which recognized 100 women across the globe “achieving great things in a competitive and notoriously tough area of law.” Ms. Giunta also serves as Co-Chair of the firm’s Global Diversity Council and Chair of the firm’s Women’s Initiative. Ms. Giunta is the Founder and Editor of the firm’s publication, Breaking the Glass Ceiling: Women in the Boardroom. JILL SIMEONE is Etsy’s Chief Legal Officer and Corporate Secretary, bringing more than 15 years of experience in international strategic advising, compliance, and public company reporting. She oversees the Legal and Policy team.
Before joining Etsy, Jill served as Vice President, Senior Counsel and Assistant Secretary at American Express Global Business Travel, where she ran the legal side of their strategic growth strategy. Previously, Jill held General Counsel positions at KCAP and CEMEX. She started her career in the Manhattan DA’s Office. |

MARYANN WARYJAS served as Senior Vice President at The Hertz Equipment Rental Corporation and then Herc Holdings Inc. (NYSE: HRI), a Hertz spin-off. Her roles at Herc Holdings included Chief Legal Officer, Board Secretary, Chair of Enterprise Risk Management, and Advisor to the CEO.
Before joining Hertz, Maryann was Senior Vice President, Chief Legal Officer and Secretary of Great Lakes Dredge and Dock Corporation (NASDAQ: GLDD) leading business and governance initiatives. She led strategy and execution of all significant transactions including acquisitions, corporate financings, bond offerings, and project financings. Prior to GLDD, Maryann was a Partner for 12 years at Katten Muchin Rosenman LLP, where she served two terms on the Board of Directors and served as Co-Chair of the Corporate Governance Practice and Co-Chair of the M&A Practice.
