A Long Strange Trip: Reflections on the IPO Process from Independent Directors Who’ve Been There

Our panelists will discuss their experiences going through the IPO process as independent directors and advisors. In particular, they will discuss how the experience differed from what they expected going into it, what surprises came up along the way and how they dealt with issues as they arose. The discussion will focus on the role of independent directors in this process, what decisions need to be made by the board and likely issues that may arise. These issues include board composition, management changes and filling key roles, compensation considerations, publicity, involvement of board members in disclosure-related issues, timing considerations, D&O insurance, training for being a public company director, dealing with auditors, and others.
