The role of the board has become more complex and demanding. With the rise of activist investors, the increasing risks related to cyber-security, privacy and social media and the challenges of operating businesses in a fast-changing and global environment, it is imperative that Boards of Directors operate in an effective and efficient manner. This program will cover:
- The characteristics of high-performing boards including composition, process and subject matter focus
- How boards can make effective decisions
- Board fiduciary obligations and new developments relating to those obligations
|Charley Geoly, CEO/board services practice, is one of the senior members of Russell Reynold’s Technology Practice as well as the top CEO and board recruiter for technology executives at the firm. His primary focus is helping private and public technology companies find new leaders, including CEOs and board members.
|Jack Jacobs, senior counsel at Sidley Austin, has more than 45 years of legal experience most notably serving on the Delaware Supreme Court (2003-2014) and as vice chancellor of the Delaware Court of Chancery (1985-2003). He also practiced corporate and business litigation in Wilmington, DE (1968-1985). He is currently an adjunct professor of law at New York University, Columbia University, Vanderbilt University and the University of Pennsylvania.
|Cathy Lego is chair of the audit committee for SanDisk Corporation and a member of the audit and the nominating and governance committees of Lam Research Corporation. She is also a member of the compensation and nominating and governance committees for Fairchild Semiconductor International, Inc.
|Thomas Cole, a partner of Sidley Austin LLP, is the former chair of the Sidley executive committee. He has taught the corporate governance seminar at both the University of Chicago and Harvard Law Schools. Thomas is a member of the board of trustees of the University of Chicago and is the former chair of the boards of Northwestern Memorial Healthcare and Hospital.
