Who owns the IP and who is an employee are top issues to get clarity on in the early stages of a company, attorneys told the Fifth Annual Stanford E-Commerce Best Practices Conference.

“IP assignment issues are absolutely key to any start-up. If you aspire to get some outside funding , if you’re going to have a liquidity event at any time, you better believe there’s going to be due diligence on the IP assignments,” said Daniel Yost, of Orrick, Herrington & Sutcliffe, Menlo Park, Calif.
