The panel will cover a wide range of issues for corporate directors with operations in China. While the FCPA may be the most feared (and certainly the most talked about), it is by no means the only issue that directors must keep in mind. The panel will explore how boards should reconcile cultural differences such as “lavish” entertaining, while still upholding ethical and moral business standards and maintaining shareholder value. Given their on-the-ground experiences, the panel will share “real world” useful examples and suggested best practices for directors.
The Panel:
Chris Forrester is a corporate partner at Morrison & Foerster. His practice focuses on the representation of public and private companies and investment banks in general corporate and finance matters, with an emphasis on mergers, acquisitions and strategic transactions, public and private securities offerings and corporate governance and compliance. His experience includes significant work in Asia — China, Hong Kong, Japan, Singapore and South Korea. He is presently resident in the firm's Palo Alto office, but has been resident in the firm's Hong Kong office where he worked closely with both public and private Asian headquartered companies on domestic and cross-border corporate matters. Chris is recognized by International Financial Law Firm Review (IFLR) as being a leading lawyer in capital markets-equity Hong Kong.
Gerry Fujimoto is a forensic and disputes services partner in Deloitte's Financial Advisory Services (FAS) practice with more than 28 years of experience in conducting audits, forensic investigations and providing litigation support. His primary areas of focus are conducting internal corporate investigations and assisting counsel with litigation support needs as an expert witness or as a consultant. Recently, Gerry led Deloitte's FAS' efforts related to investigations and litigation of China-based entities that are listed on a US stock exchange. Gerry has experience testifying as an expert witness and has been a frequent speaker on corporate governance matters.
Randy Gausman has more than 35 years of financial executive experience, the last 16 of which he served as CFO for both public and private companies. During his career, he completed more than $1.2 billion of financing transactions and the $133 million sale of a public company to a private equity firm. In addition, he co-founded an electronic communications services company, raised $74 million of venture financing and successfully settled an FCPA investigation with the DOJ and SEC.
Moderator
Jeff Kuhn is a co-founder and managing partner of FLG Partners. He has 35 years of operational, financial and capital markets experience in investment banking, financial services and technology companies. He has built particular expertise in the technology sector as CFO of and consultant to companies in the software, design services, electro-optical and telecommunications businesses, with significant international experience in Japan, Singapore and the United Kingdom.
