Recently, the California Assembly passed a law that imposes penalties on publicly traded corporations headquartered in California if their boards have fewer than a mandated number of women directors. That provision was clearly passed to address a gender imbalance on many corporate boards. But is the statute constitutional? And what effect is it likely to have on actual board behavior or business in California more generally?
