O&T Clinic Students Represent Client in M&A Transaction

Grace Chediak (’17) and Tierney O’Rourke (’17) represented Community Alliance with Family Farmers (CAFF) in its acquisition of the Farmers Guild. Grace and Tierney were advanced clinic students in the Organizations and Transactions Clinic this past fall.

CAFF is a statewide farming nonprofit whose mission is to build sustainable food and farming systems through policy advocacy and on-the-ground programs that create more resilient family farms, communities, and ecosystems. CAFF has been a client of the O&T Clinic since 2008.

The Farmers Guild is an agricultural community of farmers who collaborate toward the economic viability of local agriculture. Formerly a fiscally sponsored project of Ag Innovations, the Farmers Guild maintains a growing network of social and professional guilds across Northern California.

Grace and Tierney provided legal support to CAFF from the initial planning stages through completion of the transaction. They advised CAFF’s Executive Director on negotiating the definitive agreement providing for the transfer of the Farmers Guild assets and liabilities. Grace and Tierney also conducted due diligence, reported their findings, and drafted planning and Board approval materials.

Following graduation, Grace will join the corporate department at Latham & Watkins LLP in its Silicon Valley office. Tierney will start her legal career in the corporate group at Davis Polk & Wardwell LLP’s Menlo Park office, working on capital markets transactions, mergers and acquisitions, and other corporate matters.
