O&T Clinic Concludes Successful Spring 2019 Quarter

Congratulations to students in the Organizations and Transactions Clinic on a successful spring quarter. Under the supervision of director Jay Mitchell and clinical supervising attorney Michelle Sonu, ten full-time students worked on a variety of contract, advisory, and corporate governance matters, highlighted below.


CONTRACT AND ADVISORY MATTERS

O&T Clinic Concludes Successful Spring 2019 Quarter 1

Kate Di Lucido (‘20) and Jaclyn Freshman (‘20) advised a Bay Area environmental nonprofit about a possible large-scale collaboration with an international conservation organization. Kate and Jaclyn also helped develop a new business model and related license agreement, letter of intent, and other documents for a national nonprofit that provides health education to students in public schools.


O&T Clinic Concludes Spring 2019 Quarter 2

Jeffrey Ho (‘20) and Elizabeth Lopez (‘20) worked with one of the world’s leading science education institutions on a suite of contracts and other documents relating to use of the client’s facilities. Jeff and Elizabeth also developed materials for the board of directors of a national gun safety nonprofit concerning governance arrangements and its affiliation with other organizations working to reduce gun violence.

 

 


O&T Clinic Concludes Spring 2019 Quarter 3

Emily Goldenberg (‘20) and Elena Pinsker (‘20) prepared planning, contract, board review, and regulatory approval materials for an acquisition, by a statewide agricultural nonprofit, of an organization focused on family and other small-scale farming. The team also developed fiscal sponsorship, grant, and collaboration contracts and related documents for an East Bay nonprofit that supports public schools.

 

 


O&T Clinic Concludes Spring 2019 Quarter 4

Heather Durham (‘20) and Isabella Fu (‘20) drafted complex collaboration and participation agreements for a national youth development organization. Heather and Isabella also worked with a large Bay Area museum to develop a range of contracts, including vendor, curator, and facility use agreements, and documents relating to rights and permissions for materials included in the museum’s collection.

 

 


O&T Clinic Concludes Spring 2019 Quarter 5

Jillian Allard (‘20) and Monica Cai (‘20) worked with one of the state’s largest operators of farmers’ markets on developing market site operations agreements and related negotiation materials. They also advised and prepared a contract for a Bay Area nonprofit regarding its service and licensing relationships with a related organization that provides environmental education to high school students. 

 

 


CORPORATE GOVERNANCE

In addition, all O&T Clinic students carried out comprehensive corporate governance reviews. These engagements involve reviewing the client’s existing governance documents and practices, preparing a detailed report, drafting an extensive suite of bylaws, board committee charters, and other documents, and meeting with board members and senior executives. Elizabeth Lopez and Heather Durham represented a large and long-established veterinary care and animal welfare nonprofit. Emily Goldenberg and Jillian Allard worked with a Bay Area nonprofit that provides home renovation and repair services to seniors and other vulnerable homeowners. Elena Pinsker and Jeffrey Ho advised a prominent investigative journalism organization. Monica Cai and Kate Di Lucido advised a San Francisco nonprofit that provides a range of services to homeless families. Jaclyn Freshman and Isabella Fu represented a leading San Francisco dance company and dance school.
