Steven Schatz

Biography
Steven Schatz is a senior litigator specializing in shareholder disputes involving financial frauds and corporategovernance matters. Over the course of his 40 year career at Wilson Sonsini, he has served as lead defense counsel inapproximately 175 class and derivative actions. Among his many significant cases was the successful defense at trial of Hewlett-Packard’s acquisition of Compaq in the Delaware Chancery Court. He has argued more than thirty times in various federal Courts of Appeals as well as before the Supreme Courts of California and Delaware. In addition to his litigation matters, he has been often called on to counsel management and conduct investigations on sensitive and confidential matters. For the past two years, Steve taught securities and corporate governance litigation at Berkeley Law School and is a 2024 Fellow at Stanford’s Distinguished Career Institute.
Prior to private practice, Steve was an Assistant United States Attorney for the Southern District of New York. His successful jury trials included the prosecution of Allen Klein, the former manager of the Beatles and of a senior member of the United Stated mission to the United Nations. Steve served as a law Clerk to Judge Walter Mansfield of the U.S.Court of Appeals for the Second Circuit and is a graduate of Columbia Law School and the University of Pennsylvania.
Steve has received numerous honors in recognition of his expertise including by Chambers USA, Lawdragon, the Legal 500 and has testified before the Senate Judiciary Committee on securities litigation and securities reform. He is a pastpresident of The Association of Business Trial Lawyers (Northern California).
