Organizations and Transactions Clinic Wraps Up Spring Quarter

Organizations and Transactions Clinic students completed a successful spring quarter. Under the supervision of director Jay Mitchell and clinical supervising attorney Michelle Sonu, they worked on a variety of corporate, contractual, advisory, and governance matters, as highlighted below:

Advice and contract matters:

An-Li Herring (’17) and Joanna Pak (’17)

 

An-Li Herring (’17) and Joanna Pak (’17) prepared contracts for one of the country’s most prominent investigative journalism nonprofits for use in its collaborations with public radio stations and other media organizations. They also drafted a variety of program contracts for an East Bay nonprofit focused on nutrition and access to healthy food. Finally, in conjunction with Brittany Pifer (’17) and Erica Sollazzo (’17), students in the Juelsgaard Intellectual Property and Innovation Policy Clinic, the team developed a policy concerning internally-created teaching and other materials and created policy implementation tools for the nation’s leading charter school organization.

 

 

Gracie Chediak (’17) and Michael Ohta (’17)

 

Gracie Chediak (’17) and Michael Ohta (’17) advised a Palo Alto educational nonprofit that accelerates the development of technology, health care, and consumer products entrepreneurs. The team prepared a comprehensive contract and related operating materials for the organization’s core accelerator and education program. Gracie and Michael also developed a privacy policy for California’s leading microfinance provider, and drafted contracts and worked with the founder and CEO of a rapidly-growing international nonprofit that develops mobile technology to improve health in communities across Africa, Latin America, and Asia.

 

 

Lauren Baker (’17) and Demoni Newman (’17)

 

Lauren Baker (’17) and Demoni Newman (’17) represented a Central Coast farmers’ market in revamping its complex market operations and membership documents in line with recent changes in California law and market development. The team also created documents for use by a technology accelerator in establishing corporate sponsorship relationships, and, for a South Bay nonprofit that designs and builds products for hands-on learning in elementary and middle schools, developed contracts and a comprehensive tool for management use in assessing business and legal dimensions of proposed strategic partnerships.

 

 

Molly Manning (’17) and Tierney O’Rourke (’17)

 

Molly Manning (’17) and Tierney O’Rourke (’17) met several times with and provided wide-ranging strategic growth advice, materials, and contracts to the CEO and COO of a national environmental science education organization. They also worked with the general counsel and developed advice and service agreements for one of the country’s largest providers of grantmaking, consulting and other services to foundations, nonprofits, social investors, and social entrepreneurs. In addition, the team drafted a suite of contracts for an organization engaged in research and development of social technologies to improve mental and physical health.

Corporate governance:

In addition, all O&T Clinic students carried out comprehensive corporate governance reviews. These engagements involve reviewing the client’s existing governance documents and practices, preparing a detailed advice deliverable, drafting an extensive suite of bylaws, board committee charters, and other documents, and making a formal presentation to board members and senior executives. Lauren Baker (’17) and Molly Manning (’17) advised a San Francisco performing arts organization that commissions, produces, and presents works from theatre, dance, music, and other disciplines. Grace Chediak (’17) and An-Li Herring (’17) represented a long-established affordable housing and community development nonprofit in San Francisco. Demoni Newman (’17) and Joanna Pak (’17) worked closely with the senior management team and key directors of a large national teacher development and consulting organization. Michael Ohta (’17) and Tierney O’Rourke (’17) engaged with multiple board members in representing a Northern California organization focused on vision care and ophthalmology research and education.
