Clinic Students Discuss Public Company Financial Reporting with Experienced GC

Organizations and Transactions Clinic class sessions aim to orient students to large firm corporate practice, including discussion of M&A, corporate finance, licensing, employment, and transaction management. In one Spring 2016 class session, O&T welcomed guest speaker Gianna M. Bosko (AB ’91) to discuss financial reporting practices for public companies. Gia previously served as Senior Vice President and Chief Legal Officer of XenoPort, Inc., a public biopharmaceutical company, and worked as a corporate associate at Cooley LLP in Palo Alto, where she practiced general corporate and securities law with an emphasis on securities transactions including public equity and debt offerings and M&A.

During the class session, O&T students listened to a live conference call hosted by Facebook, Inc. reporting its earnings for the first quarter of 2016. During the call, management discussed the company’s financial performance and addressed questions from Wall Street analysts.

Following the call, Gia led a discussion with O&T students about public company financial reporting, including SEC disclosure requirements, internal disclosure controls and procedures, and the role of analysts and their interactions with public companies. O&T students also learned about how CEOs and CFOs get ready for earnings announcements and the role of the general counsel and investor relations function in preparing management to respond to questions during the call.
